PWP used these forecasts in its discounted cash flow analysis, while its comparable company and precedent transaction analyses relied on Wall Street consensus estimates.

Background discloses an earlier 2023 sale process in which "Company B" made a "best and final" proposal of $275 per share (half cash / half stock) with a $500 million reverse termination fee and $350 million termination fee, which was not consummated; the process became public.
