Process notes

Two fairness opinions were delivered on April 26, 2016: Evercore to the Special Committee and Goldman Sachs to the full Board. A Special Committee comprising all directors except William A. Shutzer (a Senior Managing Director of Evercore, an ExamWorks director, and a rollover investor) was formed; Evercore established information barriers around Mr. Shutzer. Management (Perlman, Price, Fernandez de Castro, Campbell) rolled over $40 million of equity at LGP's request and entered into a management term sheet with 9.2% profits interests in Parent. LGP's initial indications were $32.00-$35.00 (Feb. 2016) and $35.00 (Mar. 2016), raised to a best-and-final $35.05 per share. A 25-business-day go-shop produced contacts with 46 potential bidders (26 strategic, 20 financial); only one signed an NDA and no alternative proposals were received. Private Equity Firm A, which had contemplated a ~$350 million equity commitment, withdrew over price. Termination fee of $47 million (3% of equity value), go-shop fee $23.5 million (1.5%), reverse termination fee $94 million (guaranteed by LGP affiliates and Hux), plus expense reimbursement up to $10 million creditable against the termination fee.
