Joint proxy statement/prospectus for a merger of equalsize scale: Scope Research's labeling of CVS Health as target and Aetna as acquirer is inverted - Aetna is the target being acquired by CVS Health, with Hudson Merger Sub Corp. merging into Aetna. Four fairness opinions were delivered, all dated December 3, 2017: Lazard Frères & Co. LLC, Allen & Company LLC and Evercore (referenced) advised Aetna's board, while Barclays, Goldman Sachs and Centerview each opined to the CVS Health board that the merger consideration to be paid by CVS Health was fair to CVS Health. Only Allen & Company's opinion section (partially truncated) and the three CVS advisor sections were included in the provided slices; the Lazard and Evercore opinion sections were not included, so they are not recorded here. Aetna's DCF implied per-share reference range table was truncated. Negotiation history: CVS first proposed $203.00 per share with a $1.7 billion regulatory termination fee; final price of $207.00 per share ($145.00 cash plus $62.00 in stock) with a $2.1 billion regulatory termination fee. Termination fees are symmetric at $2.1 billion, including a $2.1 billion reverse/regulatory fee payable by CVS Health if required regulatory approvals are not obtained.
