Management provided Centerview the "February Projections" on February 22, 2024, covering FY2024E-FY2028E (with FY2023A actuals): revenue of $1,209M in 2024E rising to $1,538M in 2028E, Adjusted EBITDA of $269M in 2024E rising to $373M in 2028E, and unlevered free cash flow (calculated by Centerview, 29% tax rate) of $86M for Q2-Q4 2024E rising to $148M in 2028E. Earlier "October Projections" (provided October 13, 2023, FY2023E-FY2028E) showed revenue of $1,180M to $1,542M and Adjusted EBITDA of $270M to $378M; differences were driven by actual FY2023 results. The February Projections assume continued standalone operation and exclude merger effects; they were used by Centerview for its opinion and shared with THL for diligence.

Process notes

Controlling-stockholder going-private transaction (Rule 13e-3 / Schedule 13E-3) in which THL, already the Company's controlling stockholder through the THL Agiliti Stockholder, acquired the public minority for $10.00 per share cash; THL rolled over its existing equity. A Special Committee of independent directors (successor to a 2022 Special Committee that had run an earlier process with Party A and Party B) retained Centerview as its sole financial advisor; Centerview's opinion ran to the Special Committee and addressed holders other than Excluded Shares, a group considered substantially similar to unaffiliated security holders. Approval was by written consent of the THL Agiliti Stockholder delivered February 26, 2024 and re-delivered March 11, 2024 following ratification, which extinguished the fiduciary-out/change-of-recommendation termination rights and rendered the $8,803,499 company termination fee (2.25% of the cashed-out equity value) inapplicable. Price evolution during negotiations: THL proposals of $9.00 (Oct 6, 2023), $9.35 (Oct 24, 2023), $9.00 (Jan 26, 2024), and $10.00 (Feb 16, 2024). Financing: approximately $427 million total needed, funded via a $400 million incremental term loan facility and existing revolver/AR facility capacity. No precedent transactions analysis was quantified in the final opinion (precedent transaction terms appeared only in preliminary presentations).
