Custom Health Holdings to acquire Spencer Health Solutions for $25 million

Custom Health Holdings Inc. has entered into a definitive agreement to acquire Spencer Health Solutions, Inc. for up to $25 million in cash and stock consideration, consisting of up to $1.5 million in cash and approximately $23.5 million in pre-funded warrant consideration. Spencer Health Solutions develops the spencer® smart medication dispenser and in-home monitoring platform, an FDA-listed cloud-connected device that automates medication dispensing, captures real-time adherence data, and enables telehealth connectivity between patients and clinicians. The acquisition is expected to close on or about September 1, 2026, subject to customary closing conditions including Spencer stockholder approval and TSX conditional approval.
