Custom Health Holdings to acquire Evergreen Pharmacy LLC for $3.5 million

Custom Health Holdings Inc. entered into a binding letter of intent to acquire Wisconsin-based Evergreen Pharmacy LLC for $3.5 million in cash, inclusive of at least $1 million in prescription drug inventory and $450,000 in net working capital. Evergreen is a specialty pharmacy providing insurance approvals, lab monitoring, patient education, injection services, telepharmacy, and medication adherence monitoring for patients with complex chronic conditions across multiple therapeutic areas including behavioral health, dermatology, gastroenterology, infectious disease, and rheumatology. Evergreen generated $78.8 million in revenue for the twelve months ended December 31, 2025, with positive net income in fiscal 2025 and the first quarter of 2026. The acquisition is subject to negotiation of a definitive agreement, completion of due diligence, and regulatory approvals, with closing expected in Q3 2026.
