Imprivata management prepared the "Company Projections," standalone long-term financial projections for CY2016E through CY2020E, provided to the Board and to Barclays. Total revenue grows from $143.9 million in CY2016E to $318.0 million in CY2020E; Adjusted EBITDAS moves from $(7.7) million in CY2016E to $63.4 million in CY2020E, and unlevered free cash flow (derived by Barclays) from $(13.0) million to $49.5 million. Earlier preliminary versions (April 7, 2016 and May 27, 2016 Preliminary Company Projections) were updated for maintenance renewal balances and estimated 1H 2016 results; a subset of the May 27 version was provided to Thoma Bravo on June 3, 2016.

Process notes

Going-private LBO by Thoma Bravo Fund XII with a $548,148,554 equity commitment (plus up to $20 million additional); merger not conditioned on debt financing. Barclays was the sole financial advisor, delivering its opinion to the Board (presented first to a Special Committee, then to the Board) on July 12, 2016. A Special Committee was involved in evaluating and negotiating the transaction. Termination fee of ~$13.6 million equals approximately 2.5% of the equity value of the transaction. Directors, executive officers and affiliates holding ~27% of shares signed voting agreements. Barclays disclosed material prior and ongoing relationships with Thoma Bravo (~$12-13 million of fees from January 2013 to July 2016) and with significant Imprivata holders General Catalyst, Polaris Partners and Highland Capital. Merger consideration also represented a 49.0% premium to the 90-trading day average closing price and a 28.3% premium to the June 2014 IPO price.
