Management projections

BofA Merrill Lynch relied on NMM management forecasts for NMM and ApolloMed management forecasts plus separate NGACO forecasts (and cost savings and NOL utilization projections) for ApolloMed, covering the last quarter of 2016 through calendar year 2025 for DCF purposes. Comparable company work used CY2016E-CY2018E revenue, EBITDA and EPS CAGRs and CY2017E EBITDA; ApolloMed showed a 291.7% 2016E-2018E revenue CAGR and 2.9% 2017E EBITDA margin versus NMM's 8.0% revenue CAGR and 14.4% EBITDA margin. Vantage Point relied on NMM management projections for 2016-2019 (adding a smoothing year with 2020 EBITDA of $35.0 million), ApolloMed management probability-adjusted projections for fiscal years ending March 2017-March 2019 (adding two smoothing years with 2021 EBITDA of $11.0 million), combined-entity projections for 2016-2019 (2020 EBITDA of $48.0 million) and NGACO projections for 2017-2019.

Process notes

Merger of equals-style stock transaction in which NMM is the accounting/economic acquirer although Apollo Medical Holdings (AMEH) is the legal acquirer/issuer; Scope records the target as ApolloMed. Two fairness opinions were delivered: BofA Merrill Lynch to the ApolloMed board (fairness of the assumed exchange ratio to ApolloMed) and Vantage Point Advisors to the NMM board (fairness to NMM and its common shareholders). Both opinions dated December 21, 2016; Vantage Point rendered its oral opinion December 20, 2016. Termination fee of $1.5 million is payable by either party in certain circumstances (reciprocal). BofA valued the NGACO (a 50/50 JV between NMM and ApolloMed) separately using a higher discount rate (25%-30%). BofA disclosed approximately $25 million of revenues from Fresenius and affiliates (affiliates of NNA of Nevada, an ApolloMed shareholder) from December 1, 2014 through November 30, 2016. The joint proxy was filed nearly a year after announcement; ApolloMed's stock was $3.99 on December 21, 2016 and $7.79 on November 10, 2017. Deal also contemplated a $25 million cash dividend and a 10% share holdback.
